Terms of Service

This document is a comprehensive legal framework draft. It must be reviewed and approved by licensed attorneys before publication and enforcement. It does not constitute legal advice.

1. Agreement and Acceptance

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you" or "User") and Athena Agentic, Inc. ("Athena Agentic") governing your access to and use of the Athena Agentic website at athenaagentic.com and associated subdomains (the "Website").

By accessing or using the Website, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must immediately cease use of the Website.

Use of the Athena Agentic Platform (including Aegis, Vigil, and Citadel) is governed exclusively by the separate Customer Agreement executed in writing between you and Athena Agentic. These Terms do not govern use of the Platform.

2. Eligibility

You represent that you are at least 18 years of age and have legal capacity to enter a binding agreement. If accessing the Website on behalf of a company or legal entity, you represent that you have authority to bind that entity to these Terms.

3. Permitted Use

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Website solely for lawful informational purposes, including reviewing information about our Platform, submitting a briefing request, and accessing news, leadership, and careers information.

4. Prohibited Conduct

You agree not to: (a) use the Website for any unlawful purpose; (b) attempt to gain unauthorized access to any system or network; (c) interfere with or disrupt the Website or connected networks; (d) upload or transmit malicious code; (e) use automated bots, scrapers, crawlers, or data mining tools without express written consent; (f) circumvent any security or rate-limiting mechanism; (g) probe, scan, or test the Website or related systems for vulnerabilities; (h) conduct or facilitate denial-of-service attacks; (i) impersonate any person or entity.

You further agree not to: (j) reverse engineer, decompile, or disassemble any component of the Website; (k) frame or mirror the Website without consent; (l) use Athena Agentic marks without written consent; (m) conduct competitive intelligence activities against Athena Agentic; (n) use Website content to train AI or machine learning models; (o) benchmark the Website to replicate Platform capabilities.

5. Intellectual Property

The Website and all content, features, software, code, algorithms, methodologies, and materials (collectively "Athena Agentic Content") are owned by Athena Agentic or its licensors, protected by U.S. and international copyright, trademark, trade secret, patent, and other intellectual property laws. The names Athena Agentic, Aegis, Vigil, and Citadel are trademarks or service marks of Athena Agentic. No rights are granted beyond the limited license in Section 3.

6. Briefing Requests and Inquiries

Submitting a briefing request or contact form does not create a contract or commitment. Any commercial engagement is subject to a separate written agreement signed by authorized representatives of both parties.

7. Disclaimers and No Professional Advice

THE WEBSITE AND ALL ATHENA AGENTIC CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY LAW, ATHENA AGENTIC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

The Website is for general informational purposes only. Nothing on the Website constitutes legal, accounting, tax, financial, investment, procurement, cybersecurity, engineering, compliance, medical, or other licensed professional advice. You remain solely and exclusively responsible for all decisions, implementations, purchases, investments, security controls, compliance decisions, and business actions. Forward-looking statements describe direction and intent and are not guarantees.

The Athena Agentic Platform provides intelligence, analysis, recommendations, prioritisation, automation, orchestration, and decision-support capabilities only. All AI-generated outputs are probabilistic and subject to error, incompleteness, and hallucination. Human review and oversight are required for all material decisions.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ATHENA AGENTIC AND ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, GOODWILL, BUSINESS INTERRUPTION, OR REPUTATIONAL HARM, ARISING FROM YOUR USE OF OR INABILITY TO USE THE WEBSITE, HOWEVER CAUSED AND UNDER ANY THEORY OF LIABILITY.

ATHENA AGENTIC'S TOTAL AGGREGATE LIABILITY FOR CLAIMS ARISING FROM THESE TERMS OR YOUR USE OF THE WEBSITE SHALL NOT EXCEED USD $100.00. THESE LIMITATIONS ARE A FUNDAMENTAL ELEMENT OF THE BASIS OF THE BARGAIN BETWEEN THE PARTIES.

9. Indemnification

You agree to defend, indemnify, and hold harmless Athena Agentic, its affiliates, and their respective officers, directors, employees, contractors, and agents from any claims, liabilities, damages, judgments, and costs (including attorneys' fees) arising from your violation of these Terms, your use of the Website, your violation of any applicable law, or any content you submit through the Website.

10. Governing Law

These Terms are governed by and construed under the laws of the State of New York, United States, without regard to conflict-of-law rules. The UN Convention on Contracts for the International Sale of Goods does not apply.

11. Dispute Resolution

Informal resolution: Contact us at Legal@athenaagentic.com first. The parties will attempt to resolve disputes informally within 30 days.

Mandatory mediation: If informal resolution fails, disputes must first be submitted to non-binding mediation administered by the American Arbitration Association (AAA) under its Commercial Mediation Procedures in New York, New York, in English. If unresolved within 60 days, either party may proceed to arbitration.

Binding arbitration: Any unresolved dispute shall be decided by final and binding arbitration administered by the AAA under the AAA Commercial Arbitration Rules, conducted in English in New York, New York before a single arbitrator (three arbitrators if amount exceeds USD $1,000,000). The arbitral award is final and may be entered as a judgment in any competent court.

CLASS ACTION WAIVER: TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU WAIVE THE RIGHT TO PARTICIPATE IN ANY CLASS ACTION, COLLECTIVE ACTION, OR REPRESENTATIVE PROCEEDING. ALL DISPUTES MUST BE BROUGHT IN YOUR INDIVIDUAL CAPACITY ONLY.

JURY TRIAL WAIVER: TO THE MAXIMUM EXTENT PERMITTED BY LAW, EACH PARTY IRREVOCABLY WAIVES ANY RIGHT TO TRIAL BY JURY IN ANY ACTION ARISING OUT OF OR RELATING TO THESE TERMS.

Venue: For matters not subject to arbitration and for enforcement of arbitral awards: exclusive jurisdiction of state and federal courts in New York County, New York.

Equitable relief, immediate carve-out: Notwithstanding the foregoing, Athena Agentic retains the unconditional right to seek immediate injunctive or equitable relief, including temporary restraining orders, preliminary injunctions, and permanent injunctions, from any court of competent jurisdiction, without prior notice and without first completing mediation or arbitration, in connection with: actual or threatened intellectual property infringement; trade secret misappropriation; confidentiality breaches; unauthorized platform access; reverse engineering or platform replication; scraping or automated extraction; security incidents threatening customer security; or any activity threatening irreparable harm to Athena Agentic's business, IP, customers, or confidential information.

12. Confidentiality

Non-public information provided in connection with a briefing or evaluation (including product roadmap, architecture, and pricing) is confidential and may only be used for the purpose for which it was disclosed. You agree not to disclose it to any third party without prior written consent.

13. Modifications

We may modify the Website or these Terms at any time. The "Last updated" date reflects the most recent revision. Your continued use after the effective date of any modification constitutes acceptance. If you do not agree to revised Terms, cease use of the Website.

14. Entire Agreement and Severability

These Terms and the Privacy Policy constitute the entire agreement between you and Athena Agentic regarding Website use. If any provision is held invalid or unenforceable, it shall be modified to the minimum extent necessary to make it enforceable; the remainder of the Terms remains in full force.

15. Export Controls

You represent that your use of the Website does not violate any export control law or regulation, including U.S. EAR or OFAC sanctions programs.
