Acceptable Use Policy

This document is a comprehensive legal framework draft. It must be reviewed and approved by licensed attorneys before publication and enforcement. It does not constitute legal advice.

1. Purpose and Scope

This Acceptable Use Policy ("AUP") establishes the standards for acceptable use of the Athena Agentic website (athenaagentic.com), the Athena Agentic Platform, and all associated services including Aegis, Vigil, and Citadel (collectively, the "Services").

This AUP applies to all users, customers, partners, employees, contractors, and any other person or entity ("User") accessing or using the Services. This AUP is incorporated by reference into the Terms of Service and all Customer Agreements. Capitalized terms not defined herein have the meanings given in the Terms of Service.

Violation of this AUP may result in immediate suspension or termination of access to the Services, and may give rise to civil or criminal liability.

2. Prohibited Uses: Absolute Prohibitions

The following uses are absolutely prohibited and will result in immediate termination of access:

2.1 Unauthorized Access and Security Attacks

  • Attempting to gain unauthorized access to the Services, related systems, accounts, data, or networks
  • Conducting or facilitating any unauthorized penetration testing, vulnerability scanning, or security probing of the Services without express written authorization from Athena Agentic
  • Launching, facilitating, or participating in denial-of-service (DoS) or distributed denial-of-service (DDoS) attacks
  • Exploiting any security vulnerability in the Services or related infrastructure
  • Circumventing or attempting to circumvent any access controls, authentication mechanisms, rate limiting, or security features
  • Using the Services to attack, probe, scan, or exploit third-party systems without authorization

2.2 Reverse Engineering and Platform Extraction

  • Reverse engineering, decompiling, disassembling, or attempting to derive source code, algorithms, frameworks, agent designs, agent workflows, agent personas, agent collaboration methods, prompt structures, reasoning frameworks, or any other Platform intellectual property
  • Extracting, copying, or replicating AI models, agent architectures, scoring frameworks, taxonomies, decision frameworks, evaluation frameworks, or any other Platform methodology
  • Using any output, export, or result generated by the Services to train AI models, large language models (LLMs), competing agents, or competing systems
  • Using outputs to create competing products, platforms, methodologies, or frameworks
  • Conducting benchmarking activities designed to reproduce, replicate, or characterize Platform capabilities for competitive purposes

2.3 Automated Extraction and Scraping

  • Using bots, crawlers, scrapers, spiders, automated agents, or any automated means to access, extract, copy, or index the Services or any content therein without express written authorization
  • Using data mining, extraction, harvesting, or similar tools against the Services
  • Collecting personal data of other users through the Services without authorization
  • Systematically downloading, storing, or redistributing content from the Services

2.4 Illegal and Harmful Activities

  • Using the Services for any purpose that violates applicable law, regulation, or court order
  • Processing, storing, or transmitting content that is illegal, fraudulent, defamatory, obscene, harassing, threatening, or abusive
  • Violating any intellectual property rights of Athena Agentic or any third party
  • Facilitating unauthorized access to third-party systems, data, or networks
  • Engaging in money laundering, fraud, or financial crimes
  • Violating export control laws, sanctions regulations, or trade embargoes

2.5 Harmful Content and Interference

  • Uploading or transmitting viruses, malware, ransomware, trojan horses, spyware, or any malicious code
  • Introducing content or code designed to intercept, damage, compromise, or spy on systems or data
  • Interfering with the proper functioning of the Services for other users
  • Using the Services to facilitate phishing, social engineering, or credential theft

2.6 Misuse and Abuse

  • Impersonating Athena Agentic, its employees, customers, or partners
  • Submitting false, misleading, or fraudulent information to Athena Agentic
  • Using the Services for any purpose other than the legitimate business purposes authorized under the applicable Customer Agreement
  • Sharing access credentials or enabling unauthorized third-party access to the Services

3. Competitive Intelligence and Replication Prohibitions

The following activities targeting Athena Agentic are expressly prohibited:

(a) Competitive intelligence activities directed at characterizing, mapping, or exploiting Athena Agentic's proprietary methodologies, architectures, algorithms, or competitive advantages;

(b) Framework replication: using knowledge gained from the Services to recreate, approximate, or replicate any Athena Agentic framework, methodology, or system architecture;

(c) Methodology replication: using knowledge of Athena Agentic's research methodologies, intelligence methodologies, risk methodologies, or scoring methodologies to create competing offerings;

(d) Agent replication: attempting to clone, replicate, or reproduce any Athena Agentic agent, agent persona, agent workflow, or multi-agent system;

(e) Prompt extraction: attempting to extract, identify, or reconstruct any system prompt, chain-of-thought instruction, few-shot example, or other prompt engineering element used by the Platform;

(f) Use of outputs to train competing systems: using outputs, recommendations, classifications, scores, or analyses generated by the Platform to train, fine-tune, or improve any AI or ML system intended to compete with Athena Agentic.

4. Authorized Security Research

Authorized security research, including good-faith vulnerability research and disclosure, must be conducted in accordance with our Vulnerability Disclosure Policy, or under a separate written authorization agreement with Athena Agentic. Report suspected vulnerabilities to security@athenaagentic.com. Research conducted in good faith and in compliance with the Vulnerability Disclosure Policy is authorized and benefits from its safe-harbor terms; all other security testing is strictly prohibited regardless of intent.

5. Reporting Violations

If you become aware of a violation of this AUP, contact us at Legal@athenaagentic.com with subject line "AUP Violation". To report a security vulnerability, email security@athenaagentic.com and follow our Vulnerability Disclosure Policy, which explains how to report and our safe-harbor commitments. We encourage responsible disclosure and will respond promptly.

6. Consequences of Violation

Violation of this AUP may result in:

(a) immediate suspension or termination of access to the Services without notice or refund;

(b) civil legal action, including claims for injunctive relief, compensatory damages, consequential damages, and disgorgement of profits;

(c) referral to law enforcement authorities;

(d) reporting to relevant regulatory bodies;

(e) publication of violation information to the extent permitted by law.

Athena Agentic reserves the right to seek immediate injunctive relief from any court of competent jurisdiction, without prior notice and without first completing any dispute resolution procedures, for any violation or threatened violation of this AUP that involves intellectual property, trade secrets, platform security, or customer security.

7. Changes to This AUP

We may update this AUP at any time. The "Last updated" date reflects the most recent revision. Continued use of the Services after any modification constitutes acceptance of the updated AUP.
